Good morning. Oil and bond yields kept investors nervous on Monday, but regulators and boardrooms delivered a few clear decisions worth knowing about.
In today's newsletter: SEBI closes the Adani shareholding case, US spares some Indian drugs from its 100% tariff, and Tata Trusts' plan to keep Tata Sons unlisted.
SEBI clears Vinod Adani and settles with Adani firms in public shareholding case
SEBI has closed its case against Vinod Adani over alleged breaches of minimum public shareholding rules, which require listed firms to keep a set share of stock with the public.
The regulator said the "foundational allegations" that Vinod Adani effectively controlled two foreign portfolio investors and Opal Investment were not established, so the charge that the group broke public shareholding limits fell too.
Separately, Adani Enterprises, Adani Power, Adani Ports and SEZ, and Adani Energy Solutions, along with 14 individuals including Gautam Adani, settled for a combined ₹1.48 crore without admitting or denying the allegations.
The settlement is not a blank cheque: SEBI kept the right to reopen proceedings if anything the applicants told it turns out to be untrue or they break their undertakings.
If you own Adani shares, or index and mutual funds that hold them, one regulatory cloud hanging over the group since 2020 is gone, and it cost the companies and directors just ₹1.48 crore. The flip side: the question of who really controlled those offshore funds now ends without a finding against anyone.
The case moved slowly: complaints reached SEBI in June and July 2020 and it opened an investigation that October, but the show-cause notice came only in September 2024, with a supplementary notice in March 2025.
US exempts some Indian speciality drugs from its 100% pharma tariff
The US has exempted certain speciality drugs and ingredients from India and 19 other countries from a 100% tariff on patented medicines, which the Commerce Department is set to impose from September 29.
The zero rate covers drugs for rare diseases, infertility, cell and gene therapies and animal medicines. The countries qualify because they have a current or forthcoming trade and security framework with the US.
For Indian drugmakers the relief is narrow but useful: the ingredients of these drugs are also exempt, which protects suppliers of raw materials, not just finished-product makers.
Tata Trusts propose two mergers to keep Tata Sons off the stock market
The Noel Tata-led Tata Trusts have proposed merging Tata Electronics and Tata Consulting Engineers into Tata Sons, turning the group's holding company into an operating company.
The aim is for Tata Sons to stop being classed as a financial company, a status that brings an RBI listing requirement. The RBI had refused its request to give up that registration.
On March 2026 figures, the merged firm would earn 64.3% of its income from operations. The Tata Sons board must now approve the plan and seek an RBI no-objection.
